Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AIPWM ("Company," "we," "our," or "us") governing your access to and use of the AIPWM platform, including our website, applications, AI advisor, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

1.1 What AIPWM Provides

AIPWM is an AI-powered wealth management platform that provides:

  • Portfolio analysis and visualization
  • AI-driven financial insights and recommendations
  • Account aggregation across financial institutions
  • Investment research and analysis
  • Risk monitoring and alerts
  • Tax optimization suggestions
  • Goal tracking and planning tools
  • Family wealth management features

1.2 What AIPWM Is Not

AIPWM IS NOT:

  • A registered investment advisor (RIA)
  • A broker-dealer
  • A bank or financial institution
  • A tax advisor or CPA
  • A legal advisor or law firm

The Service provides technology tools and AI-generated information for educational and informational purposes only. Nothing provided through the Service constitutes personalized investment advice, tax advice, legal advice, or a recommendation to buy, sell, or hold any security.

1.3 No Fiduciary Relationship

Use of the Service does not create a fiduciary relationship between you and AIPWM. We do not owe you any fiduciary duties. You are solely responsible for your investment decisions.

2. Eligibility

2.1 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.

2.2 Legal Capacity

You must have the legal capacity to enter into a binding agreement. By using the Service, you represent that you are not prohibited from using the Service under applicable laws.

2.3 Geographic Restrictions

The Service is currently available only to users in the United States. By using the Service, you represent that you are located in the United States or are a U.S. person.

2.4 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access
  • Accept responsibility for all activities under your account

3.2 Authentication

We require multi-factor authentication (MFA) for account security. You agree to:

  • Enable and maintain MFA on your account
  • Keep your authentication devices secure
  • Not share authentication codes with others

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

3.4 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts may result in termination of all accounts.

4. Connected Financial Accounts

4.1 Third-Party Connections

The Service allows you to connect external financial accounts through third-party providers (Plaid, SnapTrade, and others). By connecting accounts, you:

  • Authorize us to access account information on your behalf
  • Authorize the third-party provider to access your accounts
  • Agree to the third-party provider's terms of service
  • Acknowledge that we are not responsible for third-party actions

4.2 Accuracy of Data

While we strive to display accurate information from connected accounts, we:

  • Do not guarantee the accuracy of third-party data
  • Are not responsible for errors in data provided by financial institutions
  • May experience delays in data synchronization
  • Cannot guarantee real-time account information

4.3 Credentials

We do not store your banking or brokerage login credentials directly. Credentials are managed by our third-party connection providers (Plaid, SnapTrade) according to their security practices.

4.4 Disconnection

You may disconnect any connected account at any time through the Service settings. Disconnection will:

  • Immediately revoke our access to new data
  • Retain historical data per our Data Retention Policy
  • Not affect data already transmitted to us

5. AI Advisor and Recommendations

5.1 Nature of AI Advice

The AI advisor feature provides computer-generated insights based on:

  • Your provided information and preferences
  • Connected account data
  • Market data and financial models
  • General financial principles

AI-generated content is:

  • For informational and educational purposes only
  • Not personalized investment advice
  • Not a substitute for professional financial advice
  • Subject to errors, limitations, and biases

5.2 No Guarantee of Outcomes

We do not guarantee:

  • The accuracy of AI-generated information
  • Any particular investment outcome
  • That following AI suggestions will be profitable
  • That AI recommendations are suitable for your situation

5.3 Your Responsibility

You are solely responsible for:

  • Evaluating AI-generated information
  • Making your own investment decisions
  • Consulting qualified professionals as needed
  • Verifying information before acting on it

5.4 AI Limitations

The AI advisor:

  • May produce inaccurate or outdated information
  • Does not have access to all relevant information
  • Cannot predict future market movements
  • May not account for your complete financial situation
  • Is not a substitute for human professional judgment

6. Acceptable Use

6.1 Permitted Use

You may use the Service only for:

  • Personal, non-commercial wealth management
  • Managing your own or your family's finances
  • Educational purposes regarding investing and finance

6.2 Prohibited Conduct

You agree NOT to:

  • Use the Service for any illegal purpose
  • Violate any applicable laws or regulations
  • Impersonate any person or entity
  • Provide false or misleading information
  • Attempt to gain unauthorized access to any systems
  • Interfere with or disrupt the Service
  • Reverse engineer or decompile the Service
  • Scrape, crawl, or automated access the Service without permission
  • Use the Service to harm others financially
  • Share your account with others
  • Resell or redistribute the Service
  • Use the Service for money laundering or fraud
  • Circumvent any security measures
  • Overload or abuse the AI advisor with excessive requests

6.3 Compliance with Laws

You agree to comply with all applicable laws, including:

  • Securities laws and regulations
  • Tax laws and reporting requirements
  • Anti-money laundering (AML) laws
  • Privacy and data protection laws

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, logos, and content, is owned by AIPWM or its licensors and is protected by intellectual property laws.

You may not:

  • Copy, modify, or distribute our intellectual property
  • Use our trademarks without permission
  • Create derivative works based on the Service
  • Remove any proprietary notices

7.2 Your Content

You retain ownership of content you provide (documents, messages, data). By providing content, you grant us a license to use it to provide and improve the Service.

7.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use such feedback without compensation or attribution.

8. Fees and Payment

8.1 Service Fees

Current fees for the Service are displayed at registration and in the account settings. We may offer:

  • Free tier with limited features
  • Premium subscription plans
  • Usage-based pricing for certain features

8.2 Payment Terms

If you subscribe to a paid plan:

  • Fees are billed in advance on a recurring basis
  • You authorize us to charge your payment method
  • Fees are non-refundable except as required by law

You are responsible for all applicable taxes related to your use of the Service.

10. Disclaimers

10.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS
  • AVAILABILITY OR RELIABILITY

10.2 No Investment Advice

WE DO NOT PROVIDE INVESTMENT ADVICE. All information, including AI-generated content, is for informational purposes only and should not be construed as investment advice.

10.3 No Guarantee of Results

WE DO NOT GUARANTEE ANY INVESTMENT RESULTS. Past performance is not indicative of future results. All investments involve risk, including possible loss of principal.

10.4 Data Accuracy

WE DO NOT GUARANTEE THE ACCURACY OF DATA from connected accounts, market data providers, or AI-generated content. You should verify all information independently.

10.5 Service Availability

WE DO NOT GUARANTEE UNINTERRUPTED ACCESS to the Service. The Service may be unavailable due to maintenance, updates, or factors beyond our control.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIPWM SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Investment losses or missed opportunities
  • Damages arising from third-party services
  • Damages arising from unauthorized access to your account
  • Damages arising from reliance on AI-generated content

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • The amount you paid us in the 12 months preceding the claim, or
  • One hundred dollars ($100)

11.3 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US.

11.4 Jurisdictional Limitations

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless AIPWM, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your investment decisions
  • Content you provide through the Service
  • Your negligence or misconduct

13. Termination

13.1 Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in Settings
  • Contacting us at support@aipwm.com

13.2 Termination by Us

We may suspend or terminate your account at any time for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Extended period of inactivity
  • Non-payment of fees
  • Any reason with 30 days' notice

13.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • We will disconnect all connected accounts
  • Your data will be handled per our Data Retention Policy
  • Provisions that should survive termination will remain in effect

13.4 Survival

The following sections survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.

14. Dispute Resolution

14.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@aipwm.com and attempt to resolve the dispute informally for at least 30 days.

14.2 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

You and AIPWM agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court, except that:

  • Either party may seek injunctive relief in court
  • Either party may bring claims in small claims court

14.3 Arbitration Rules

Arbitration shall be conducted by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in [State], unless otherwise agreed. The arbitrator's decision shall be final and binding.

14.4 Class Action Waiver

YOU AND AIPWM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@aipwm.com within 30 days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

16. Changes to Terms

16.1 Modifications

We may modify these Terms at any time. We will provide notice of material changes by:

  • Email to your registered address
  • Prominent notice on the Service
  • Updating the "Last Updated" date

16.2 Acceptance of Changes

Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

16.3 Review Recommendation

We recommend reviewing these Terms periodically for changes.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and Data Retention Policy, constitute the entire agreement between you and AIPWM regarding the Service.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect.

17.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

17.5 Notices

Notices to you may be sent to your registered email address. Notices to us should be sent to legal@aipwm.com.

17.6 Force Majeure

We shall not be liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.7 Headings

Section headings are for convenience only and do not affect interpretation.

17.8 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

19.1 Family Features

If you use family management features:

  • You are responsible for inviting appropriate family members

  • Each family member must agree to these Terms

19.2 Document Storage

If you upload documents to the Service:

  • You represent that you have the right to upload such documents
  • Documents are encrypted and stored securely
  • We are not responsible for the legal validity of uploaded documents
  • Document storage is provided for convenience, not legal safekeeping

19.3 Trade Execution (Future Feature)

If trade execution features become available:

  • Trades are executed through third-party brokerages
  • We are not responsible for trade execution quality
  • You are responsible for reviewing and approving all trades
  • Market conditions may affect execution prices
